DENTSPLY and Sirona Merge

DENTSPLY International and Sirona Dental Systems will merge to form DENTSPLY SIRONA, the world’s largest dental manufacturer with 15,000 employees around the world, according to both parties.

“Combining Sirona’s proven digital solutions and equipment with DENTSPLY’s leading consumables platform creates the most comprehensive dental solutions offering available to meet customer demand in every key segment,” said Jeffrey T. Slovin, Sirona president and chief executive officer (CEO).

Slovin will serve as CEO of the new company and as a member of its board of directors. Bret W. Wise, chairman and CEO of DENTSPLY, will serve as executive chairman of DENTSPLY SIRONA. The new board will comprise 6 current DENTSPLY directors and 5 current Sirona directors. The companies expect to complete the transaction in the first quarter of 2016, pending regulatory approvals and other customary closing conditions.

Executives say the merger will create a company with net revenue of approximately $3.8 billion and adjusted earnings before interest, taxes, depreciation, and amortization (EBITDA) of more than $900 million. They also say it will boast the profession’s largest sales and service infrastructure, supported by leading distributors.

With consumables, equipment, and technology under one roof, DENTSPLY SIRONA also will be able to deliver digital technologies and integrated solutions and workflows to enhance efficiency and patient care for general practitioners and specialists, the companies say.

DENTSPLY SIRONA has an eye on innovation in consumables, equipment, and technology as well. More than 600 scientists and R&D staff will work to leverage DENTSPLY’s materials science experience with Sirona’s technology platforms to develop new, better, safer, and more efficient dental solutions and procedures.
